1. This Agreement ("Agreement") is entered into between the Client and Crewmentum. These terms define the scope, responsibilities, and limitations of services rendered by the Consultant.
2. The Consultant will provide recruitment services, including but not limited to:
- Understanding hiring requirements and company culture
- Shortlisting and pre-screening of candidates
- Coordinating interviews and feedback
- Assisting in offer negotiation and onboarding
3. All fees are exclusive of applicable taxes. Payment terms are net [15/30] days from invoice date. Late payments may incur interest charges.
4. A one-time replacement will be provided at no cost if the selected candidate resigns or is terminated within [60/90] days, provided:
- All invoices are paid on time
- The job role and offer terms remain unchanged
- The Client informs the Consultant within 7 days of exit
5. Candidate information remains the Consultant's property for 12 months. If the Client hires the candidate or shares their profile resulting in a hire, a full fee is applicable.
6. Both parties agree to maintain confidentiality over shared business details, candidate profiles, compensation structures, and feedback.
7. The Client shall not solicit or employ any Consultant's employees involved in the project for 12 months following the end of services.
8. Consultant ensures compliance with all applicable data protection laws (e.g., GDPR, IT Act). The Client must protect and not misuse any candidate data shared.
9. Consultant will not be liable for candidate performance, retention, or suitability post-placement. Liability is limited to the total service fee paid in the last 6 months.
10. This Agreement continues unless terminated by either party with [15/30] days' written notice. Existing obligations remain enforceable post-termination.
11. Disputes arising from this Agreement will first be attempted to resolve amicably. Failing that, the courts of Guwahati, Assam shall have exclusive jurisdiction.
12. No changes to these terms shall be valid unless mutually agreed upon in writing by both parties.
13. These terms constitute the entire agreement, overriding any previous arrangements or discussions.
14. Use of the Consultant’s services constitutes full acceptance of these terms and conditions by the Client.
